                        RULES
                     July, 1994 

RULE 1.   NAME 

The name shall be the ICA International Consumer Co-operatives
Organisation (ICCO), hereinafter referred to as the Consumer
Organisation or (ICCO). 
 
RULE 2.   THE ROLE OF THE CONSUMER ORGANISATION 

a) The Consumer Organisation is a forum for the consumer
co-operative questions. 
 
b) The Consumer Organisation should be representative of
co-operative bodies interested in consumer and related questions
affiliated, directly or indirectly, to the International
Co-operative Alliance. It has the status of a Specialised
Organisation of the ICA. 
 
c) The Consumer Organisation should submit reports of its
activities to the International Co-operative Alliance; and the
President and Director-General of the Alliance, or a person
appointed by one of them, shall be invited to attend Members'
Meeting of the ICCO. 

RULE 3.   MEMBERSHIP 
 
a) National and international co-operative bodies affiliated to
the ICA and those institutions which are interested in consumers'
affairs and accept the objectives of the ICA, shall be eligible
for membership of the Organisation. 
 
b) Withdrawal of membership shall be admissible on one year's
notice and membership will lapse automatically in the event of
two years' arrears of subscription being due. 
 
c) Any Co-operative Consumers' Organisation which for particular
reasons, is not able to enjoy the advantages of a complete
membership, can nevertheless request the grant of
"corresponding-member" but which shall be subject to review after
two years. 
 
RULE 4.   THE OBJECTS OF THE CONSUMER ORGANISATION 
 
To initiate and encourage discussion on the crucial problems of
Consumer Co-operatives, e.g. consumer policy, membership,
business development etc. 
 
To communicate information to ICA members and to other
appropriate organisations. The Organisation must extensively
collect and disseminate information on consumer matters, and
advise in connection with the establishment of new co-operative
consumer organisations. 
 
To collaborate with other appropriate ICA Organisations and
Committees. 
 
To represent on behalf of the ICA co-operative consumer interests
to other international co-operative or non-co-operative
organisations, and to collaborate with the governmental and
non-governmental agencies for consumer affairs, i.e. dealing with
the problems and interests of consumers, particularly consumer
protection. 
 
To publish information and results of work accomplished by the
Organisation via ICA publications press released and other
efficient means. 
  
RULE 5.   CONSTITUTION 

The ICCO shall be controlled by a Members' Meeting and by an
Executive. 
 
RULE 6.   MEMBERS' MEETING 
 
Ordinary Members' Meeting shall be convened once a year, normally
at the time of a meeting of the ICA General Assembly.
Extraordinary Members' Meetings shall be convened at the
discretion of the Executive. The Agenda shall be circulated at
least six weeks before meetings. 
 
Member organisations shall be entitles to appoint not more than
four delegates to Members' Meetings. Delegates have the right to
take the floor. Observers may attend subject to the approval of
the Executive Committee. 
 
Each member organisation shall have one vote at Members' Meetings
and decisions shall be taken by a simple majority of those member
organisations in attendance. The Chairman shall have a casting
vote. 
 
The function of the Members' Meeting shall be to elect the
Chairman of the ICCO, who shall also be the Chairman of the
Executive; to elect two Vice-Chairmen, the members of the
Executive and a Secretary; to approve the report of the Executive
and the financial statement; to approve the budget and future
work programme. 
 
RULE 7. THE EXECUTIVE 
 
The Executive shall consist of not more than ten members,
including the Chairmen of any Regional Sub-committees, who shall
be elected for the period between ICA Congresses. Re-election
shall be permitted. Should a member of the Executive resign, the
Executive may co-opt a member until the next Members' Meeting. 
 
The Executive of the ICCO shall decide on admission to
membership. In cases of dispute, an appeal can be made to the ICA
Board. 
 
The Executive shall implement the objectives of the ICCO and
report to the Members' Meeting. It may also prepare standing
Orders for meetings and determine the admission of observers. 
 
RULE 8. THE SECRETARIAT 
 
The Secretariat shall be responsible to the Executive for the
operational and administrative work of the ICCO, reporting upon
the books of account, issuing reports, convening meetings and
undertaking such other duties as the Executive may from time to
time prescribe. 
 
RULE 9. RELATIONSHIP BETWEEN MEMBERS AND SECRETARIAT 
 
In order to ensure the most effective presentation of
co-operative views on consumer questions at the international
level, each member organisation shall appoint an appropriate
person, to act as liaison officer with the ICCO, and serve as a
focal point for all matters of consumer interest. 
 
Such liaison officers shall keep the Secretariat of the ICCO
informed of consumer developments in the countries in which their
organisations operate; and pass on to the appropriate departments
within their own organisations, for publication where
appropriate, all statements that may be made, or publications
that may be issued by this Organisation. 
 
Such liaison officers may also assist the Secretariat of this
Consumer Organisation in planning and arranging meetings and
conferences and in other ways. 
 
RULE 10.  RELATIONSHIP WITH OTHER ICA SPECIALISED ORGANISATIONS
          AND COMMITTEES 
 
The ICCO shall collaborate with all other appropriate Specialised
Organisation and Committees and their Working Groups, keeping
them informed on all matters of consumer interest. 
 
RULE 11.  THE FINANCES 
 
The annual subscription of members of the ICCO shall be as the
Members' Meeting determines. 
 
The Executive may, in special circumstances, permit a member to
pay less than the full subscription. The amount of annual
subscription is then decided by the Executive Committee for any
particular case, considering the financial possibilities and the
geographical situation of the organisation. 
 
All expenses incurred as a result of attendance at meetings shall
be borne by the member organisation. 
 
The funds necessary to cover the expenditure of the secretariat
shall be included in its budget by the Executive and be presented
for approval to the Ordinary Annual Meeting of Members. 
 
RULE 12.  ACCOUNTING YEAR 
 
The financial year is the calendar year. 
 
RULE 13.  QUORUM
 
Three persons shall constitute a quorum for meetings of the
Executive, and twelve persons for Members' Meetings. 
  
RULE 14.  AMENDMENTS TO RULES 
 
Any amendments to Rules shall require a two-thirds majority of
those member organisations attending a Members' Meeting and the
approval of the ICA Board. 
 
RULE 15.  DISSOLUTION 
 
The International Consumer Co-operatives Organisation may be
dissolved by a decision of the Members' Meeting on the
recommendation of its Executive. It shall require a 3/4 majority
vote of those member organisations attending a Member Meeting. 
 
Any meeting approving a proposal to dissolve the International
Consumer Co-operatives Organisation shall also determine how any
debts should be paid. In the event of any surplus remaining after
dissolution, it shall be placed at the disposal of the ICA.
